VideoVerse’s $250M Acquisition Unravels Amid Fraud Allegations

In September 2025, VideoVerse, an Indian startup specializing in video clipping services, announced its acquisition by Minute Media, a sports publisher based in New York and Tel Aviv, for $250 million. This deal was seen as a significant achievement for the Indian startup ecosystem, with plans to expand VideoVerse’s technology into the global sports market.

However, less than a year later, the acquisition has collapsed. Investors have yet to receive their expected returns, and VideoVerse’s founder, Vinayak Shrivastav, is now embroiled in multiple legal battles. Minute Media has distanced itself from the company, terminating its contract in May 2026 and emphasizing that the two entities had continued to operate separately even after the acquisition was finalized.

Minute Media cited significant discrepancies in VideoVerse’s representations as the reason for ending the engagement. Legal filings from creditors and investors suggest a pattern of deceptive practices by Shrivastav, including accumulating debts and engaging in side deals under the guise of a successful business.

Bluestone Capital, an investor in VideoVerse’s 2023 funding round, has filed a lawsuit alleging that the startup violated investment terms and withheld proceeds from the acquisition. Additionally, a creditor is seeking to recover $64 million from a loan taken out by Shrivastav shortly after the acquisition. This complaint also accuses Shrivastav of using fraudulent merger documents to mislead shareholders into approving the merger.

Further complicating matters, VideoVerse’s Chief Operating Officer has alleged that Shrivastav forged his signature on loan and share-repurchase agreements, extracting tens of millions of dollars from the company following the Minute Media deal.

The Business of Clipping

VideoVerse had established itself as a key player in the video clipping industry, offering automated tools for editing long-form broadcasts into shorter clips suitable for social media. Its flagship product, Magnifi, utilized AI to identify key moments and players, enabling clients to efficiently create highlight packages. The platform attracted high-profile clients such as the Indian Premier League, FIFA+, and Nippon TV.

The unraveling of this acquisition underscores the critical importance of thorough due diligence in mergers and acquisitions. It also highlights the potential risks associated with rapid expansion and the reliance on trust in the startup ecosystem. As the legal proceedings unfold, the case serves as a cautionary tale for investors and entrepreneurs alike, emphasizing the need for transparency and accountability in business dealings.
